Terms of Service

These Terms of Service ("Terms") govern your use of Auditiono ("the Service"), operated by Royal Wave Media, Inc. ("we," "us," or "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, please do not use the Service.

1. The Service

Auditiono is a web-based audiobook casting platform. The Service allows narrators to build verified profiles with audio samples, audiobook credits, and discovery links, and (when those features launch) allows authors and publishers to post casting calls, receive auditions, and select narrators for projects. Verified narrator profiles render at a public URL the narrator can share.

2. Accounts

You must create an account to use Auditiono. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You agree to provide accurate information during registration and to keep your account information up to date.

You must be at least 18 years old to create an account. Each person or business should maintain only one account. You may sign up as a narrator, an author, or both.

4. Narrator verification

Narrators may submit their profile for verification. During verification, we review the information you submitted — your samples, credits, identity, and profile fields — against our standards. Verification is at our discretion. We may decline a submission and ask you to revise it, with a brief written reason.

We may revoke verification of a profile that no longer meets our standards, for example if we determine that credit claims were false, samples were not the narrator's own work, or other Terms have been breached.

5. Account suspension and termination

We may suspend, restrict, or terminate your access to the Service immediately or on notice if we reasonably believe that you have breached these Terms, engaged in fraudulent or abusive conduct, pose a security risk to the Service or other users, or if suspension or termination is necessary to comply with applicable law.

If we terminate your account for breach, you remain responsible for any charges accrued before termination (if any). Upon termination, your right to use the Service ceases immediately. We may, at our discretion, provide a reasonable opportunity to export your data before deletion, except where prohibited by law or where doing so would compromise security or another user's rights.

You may also close your account at any time. When the in-product account deletion flow launches, you can request closure directly. In the interim, contact us at hello@auditiono.com. Account closure is subject to the data retention terms in Section 8.

6. Pricing

Auditiono is currently free for all users. Narrators can create a profile, submit for verification, share their public profile URL, and (when those features launch) participate in auditions, all at no cost.

We may introduce paid features in the future, particularly on the author side of the Service (for example, paid plans for posting casting calls, accessing premium search, or other publisher tooling). If we introduce paid features, the terms of those features — including pricing, billing cycle, refunds, and the consequences of nonpayment — will be disclosed before you opt in to them, and additional terms specific to those features may apply.

We commit that core narrator features — building a profile, hosting samples, listing credits, being matched with author casting calls, and participating in auditions — will remain free for narrators.

7. Your content and intellectual property

You retain ownership of your content. The audio samples you upload, your headshot image, your bio, training credits, audiobook credits, cover thumbnails you upload, listings (when author features launch), audition recordings, and all other content you contribute to the Service remain your intellectual property. We do not claim any ownership of your content.

Limited license to operate the Service. You grant us a worldwide, non-exclusive, royalty-free license to host, store, transmit, transcode, resize (for image thumbnails), and display your content as necessary to operate the Service, to present your verified public profile to visitors at your profile URL, and to deliver your auditions to the authors who posted the corresponding casting calls. This license is limited to operating the Service and terminates when you delete your account or when the relevant content is removed, subject to a reasonable retention period for backups and audit purposes (described in our Privacy Policy).

Cover thumbnails. Narrator-uploaded cover thumbnails are your responsibility — you must have the right to upload the image you provide, or it must qualify as fair use for the purpose of identifying a credited work. We may also, at our discretion, attempt to capture a cover image from the verification URL you provided; if we do, the resulting derivative thumbnail is used solely to identify the work on your profile and is governed by the same fair-use principles.

De-identified aggregated use. You also grant us the right to use your data in de-identified, aggregated form for statistical analyses, using measures reasonably designed to prevent re-identification. We will not publish or disclose aggregated data where a small sample size, niche category, or other contextual factor could reasonably permit reverse engineering of a specific user's information. We apply internal disclosure controls before any publication of aggregated statistics. For full details, see Section 7 of our Privacy Policy.

Auditiono's platform content. The Service itself — the application code, user interface, design, branding, copy, and all original content we produce — is the property of Royal Wave Media, Inc. and is protected by copyright, trademark, and other applicable laws. You may not reproduce, modify, distribute, or create derivative works from the Service without our written permission.

8. Data retention and deletion

Your account data is retained for as long as your account is active. Specifically:

You can request permanent deletion of your account at any time from the delete-account page. See our Privacy Policy for full details on what's removed, what's retained in anonymised form, and what happens to encrypted backups.

9. Service availability

We strive to keep Auditiono available at all times, but we do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or reasons beyond our control. We will make reasonable efforts to notify users of planned downtime in advance.

10. Limitation of liability

Auditiono is provided "as is" and "as available." We make no warranties, express or implied, regarding the accuracy, completeness, or reliability of the Service. To the maximum extent permitted by applicable law:

The exclusions and limitations in this section apply to the maximum extent permitted by applicable law. Nothing in these Terms excludes or limits liability for gross negligence, willful misconduct, fraud, or any liability that cannot be excluded or limited under applicable law, including liability for breaches of our data protection or confidentiality obligations.

11. Indemnification

You agree to indemnify and hold harmless Royal Wave Media, Inc., its owner, and its affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, your infringement of any third-party rights (including third-party intellectual property rights in content you upload), or your interactions with other users. This indemnification obligation survives termination of your account.

12. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice within the Service. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

13. Governing law and dispute resolution

These Terms are governed by the laws of the State of North Carolina, United States, without regard to conflict of law provisions.

Any disputes arising from or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in the State of North Carolina, and you consent to the personal jurisdiction of such courts. To the maximum extent permitted by applicable law, you waive any right to a jury trial in connection with any dispute arising under these Terms.
